SHAYK® End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("End-User") and Shayk Technologies, LLC ("Licensor"), located at 1039 S 21st St, Unit #1, Omaha, NE 68108, United States, governing your use of the Shayk mobile application ("Licensed Application" or "App").
By downloading, installing, or using the Licensed Application from Google Play or any other platform ("Services"), you agree to be bound by this Agreement.

The Shayk application provides tools for managing confidentiality through secure execution, tracking, and enforcement of agreements.
Compliance: You agree to use the App in compliance with all applicable laws, including but not limited to:
Data Protection Laws (GDPR, CCPA)
Consumer Protection Laws
Intellectual Property Laws
No Legal Advice: The App is a legal support tool and not a substitute for professional legal advice. Shayk Technologies is not a law firm and does not provide legal services.
2. Scope of License
2.1 The Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal or internal business purposes on devices running Android.
2.2 You may not:
Share, rent, or sell the App without written consent.
Reverse-engineer, decompile, or modify the App.
Circumvent any security measures of the App.
2.3 Violations may result in legal action and termination of this license.
3. Technical Requirements
3.1 The App requires a compatible device and operating system.
3.2 It is your responsibility to ensure your device meets these requirements.
3.3 Licensor may update technical specifications at its discretion.
4. Maintenance and Support
4.1 Shayk Technologies is solely responsible for maintenance and support.
4.2 Contact: privacy@shayk.com for support inquiries.
4.3 App store platforms (e.g., Google Play) have no obligation to provide support.
5. Data Privacy and Security
5.1 Your personal data is handled in accordance with our Privacy Policy.
5.2 Data Subject Rights (GDPR):
Right to access, rectify, or delete personal data.
Right to object to data processing.
Right to data portability.
5.3 Consent: By using the App, you consent to the collection and processing of your data.
5.4 Security Measures: We implement encryption, access controls, and regular security audits to protect your data.
5.5 Data Retention: We retain your data only as long as necessary to provide the services or as required by law. Upon account termination, your data will be deleted within 90 days.
6. User-Generated Contributions
You may submit content (text, images, feedback) through the App. You agree not to submit content that:
Violates any law or third-party rights.
Contains harmful, misleading, or offensive material.
7. Contribution License
By submitting content, you grant Shayk Technologies a perpetual, worldwide, royalty-free license to use, reproduce, and distribute your content for business purposes. You retain ownership of your contributions.
8. Limitation of Liability
8.1 Shayk Technologies is not liable for:
Indirect, incidental, or consequential damages.
Data loss resulting from user error or misuse.
8.2 Liability for damages is limited to the amount you paid for the App.
9. Warranty Disclaimer
9.1 The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
9.2 We do not guarantee the App will be error-free, uninterrupted, or free from malware.
9.3 To the extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
10. Product Claims
Shayk Technologies is solely responsible for product claims related to the App, including legal compliance and consumer protection.
11. Legal Compliance
You agree not to use the App in any country embargoed by the U.S. or if you are on a U.S. government restricted party list.
12. Dispute Resolution
12.1 Governing Law: This Agreement is governed by the laws of Nebraska, excluding conflict of law rules.
12.2 Informal Negotiations: Before pursuing arbitration or litigation, you and the Company (“Parties”) agree to first attempt to resolve any dispute, claim, or controversy related to these Legal Terms or the use of the Services (“Dispute”) through good-faith informal negotiations lasting at least 30 days. Informal negotiations begin when one Party provides written notice to the other.
12.3 Binding Arbitration: If informal negotiations fail, the Dispute will be resolved exclusively through binding arbitration, except for the exceptions listed below. By agreeing to arbitration, you waive your right to sue in court or have a jury trial.
Rules and Process: Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (www.adr.org). It may take place in person, via documents, by phone, or online, at the discretion of the arbitrator.
Fees: Arbitration fees and arbitrator compensation will be governed by AAA rules. If the arbitrator determines fees are excessive, we will cover them.
Location: Unless otherwise required by law, arbitration will occur in Douglas County, Nebraska.
Arbitration decisions will follow applicable law, and awards may be challenged if the arbitrator fails to comply. The Parties may seek court orders to compel arbitration, enforce arbitration awards, or modify arbitration outcomes.
12.4 Court Proceedings: If a Dispute cannot be arbitrated, it will be resolved in the state or federal courts located in Douglas County, Nebraska. You consent to the jurisdiction of these courts and waive objections to venue or jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) do not apply.
12.5 Class Action Waiver: You waive any right to participate in class action lawsuits.
12.6 Exceptions to Arbitration: The following Disputes are not subject to arbitration: (1) Claims involving intellectual property rights; (2) Allegations of theft, piracy, invasion of privacy, or unauthorized use; and (3) Requests for injunctive relief.
12.7 Time Limit: Any Dispute must be filed within one (1) year from the date the issue arose, or it is permanently barred. If any part of this clause is found unenforceable, the remaining provisions will still apply.
13. Termination
This license is valid until terminated. It will automatically terminate if you violate any terms. Upon termination, you must stop using and delete all copies of the App.
14. Third-Party Terms and Beneficiary Rights
Google and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
15. Intellectual Property Rights
All intellectual property in the App belongs to Shayk Technologies. You may not reproduce or distribute any content without permission.
16. Force Majeure
We are not liable for delays or failures due to events beyond our control (natural disasters, war, internet outages, etc.).
17. Governing Law
This Agreement is governed by the laws of the State of Nebraska.

19. Miscellaneous
19.1 If any provision of this Agreement is found invalid, the remaining provisions remain in effect.
19.2 Modifications to this Agreement will be communicated, and continued use constitutes acceptance.
Acknowledgment
By downloading or using the Shayk App, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
